You are responsible for maintaining the confidentiality of your account and password, and for restricting access to your computer, mobile device, and/or account. You agree to accept responsibility for all activities that occur under your account or password.
You are solely responsible for any content that you create, upload, submit, or otherwise make available through the Noggn Service. This includes ensuring that such content does not violate any applicable laws or infringe upon the intellectual property, privacy, or other rights of any third party. We do not assume any liability for content uploaded by users, and we reserve the right to remove any content that we, in our sole discretion, determine to be unlawful, offensive, or otherwise objectionable.
3.3 Account Termination
We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders at our sole discretion.
4. PRODUCTS OR SERVICES
4.1 Product/Service Description
Our application is designed to help small business owners streamline internal operations by systemizing communication and task management across their organization. The platform enables users to establish a clear business hierarchy, define roles and lines of authority, and assign tasks with transparency and accountability. Each task can be confirmed upon completion through image uploads and supervisor feedback, ensuring quality control and accountability. In addition to our core platform features, we offer personalized support and services tailored to each client’s unique business needs, empowering them to improve operational efficiency and achieve sustained growth.
4.2 Pricing and Payment
All prices are subject to change without notice. We reserve the right at any time to modify or discontinue the Service (or any part or content thereof) without notice at any time.
Payment for our products/services can be made via Automatic Clearing House (ACH) bank transfer. All payments are processed securely through QuickBooks Payments.
4.3 Refund Policy
Cancellation and refund terms for our products and services are governed by the specific Service Agreement or Subscription Agreement executed between you and Noggn LLC. In the event of any conflict between these Terms and the applicable agreement, the terms of the executed agreement shall control.

5. INTELLECTUAL PROPERTY
5.1 Our Intellectual Property
The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Noggn LLC and its licensors. 5.2 License to Use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to use our Service for your personal or business purposes.
5.3 User-Generated Content
By posting, uploading, or otherwise making available any content to our Service, you grant us a non-exclusive, royalty-free, transferable, sublicensable, worldwide license to use, copy, modify, create derivative works based upon, distribute, publicly display, and perform your content in connection with operating and providing our Service.

Notwithstanding anything to the contrary contained herein, Noggn LLC’s total liability to you for any claim arising out of or relating to these Terms or your use of the Service shall in no event exceed the total amount paid by you to Noggn LLC for use of the Service.

You agree to defend, indemnify, and hold harmless Noggn LLC, its directors, employees, partners, agents, suppliers, or affiliates, from and against any and all losses, damages, liabilities, costs, or expenses, including reasonable attorneys’ fees, resulting from or arising out of any third-party claim related to your use of the Service, violation of these Terms, or infringement of any intellectual property or other right of any person or entity.

11. CHANGES TO TERMS

12. GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law principles. You agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Service shall be brought exclusively in the state or federal courts located in Salt Lake County, Utah, and you hereby consent to the personal jurisdiction and venue of such courts.
13. DISPUTE RESOLUTION

13.2 Arbitration
If we are unable to resolve a dispute through informal means, any dispute arising from or relating to these Terms or our Services shall be finally settled by binding arbitration in Salt Lake County, Utah, in accordance with the Consumer Arbitration Rules of the American Arbitration Association (AAA).
13.3 Class Action Waiver
Any arbitration, proceedings, or actions under these Terms will take place on an individual basis. Class actions and class arbitrations are not permitted.
13.4 Attorneys’ Fees
In the event of any legal action or arbitration proceeding arising out of or relating to these Terms or the use of the Service, the prevailing party shall be entitled to recover its reasonable attorneys’ fees and costs from the non-prevailing party.
14. SEVERABILITY
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
15. ENTIRE AGREEMENT
These Terms constitute the entire agreement between you and Noggn LLC regarding our Service and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning our Service.
